Version 1.0 · October 27, 2026
These Discovery Terms (the “Agreement”) are between Publisher Online E.I.R.L., doing business as Kaypi Stack, a company registered in Peru with tax ID (RUC) 20572201636 and address at Jr. 1 de Abril 383, La Banda de Shilcayo, San Martín, Peru (“Kaypi Stack”), and the person or company named in the Discovery proposal and invoice (the “Client”). Each is a “Party”.
How you accept. The Agreement takes effect when the Client pays the Discovery invoice, which links to this page. If you prefer a signed copy, write to [email protected] and we will send one before you pay.
-
Purpose. Kaypi Stack will study the Client’s business and define the software the Client needs, so the Parties can agree on a fixed scope, price and delivery plan before any development starts.
-
Deliverables. Kaypi Stack will deliver:
- A requirements summary in plain language.
- A map of the processes involved, current and proposed.
- Mockups of the key screens and a clickable prototype. The prototype is visual only and has no working functionality.
- A web presentation of the proposed solution.
- A narrated video walkthrough of the solution, with subtitles.
- A scope document, a fixed price and a delivery plan for development.
On request, at no extra cost, Kaypi Stack will add a technical pack: a data model, an architecture overview and a list of integrations. Mockups of every screen and any working software are part of development, not of Discovery.
-
Process. The Client provides recordings, documents and other materials through kaypistack.com or by email. Kaypi Stack studies them and may send up to two rounds of follow-up questions. After delivering the prototype, the Client may request up to two rounds of changes. Additional rounds are quoted and billed separately.
-
Timing. Discovery takes the working time stated in the Discovery proposal, usually 1 to 2 weeks, plus the Client’s review time. The Client will answer each round of questions and each delivery within 3 business days. Any delay by the Client extends the delivery date by the same amount of time.
-
Decision maker. The Client names one person with authority to answer questions and approve deliverables, in writing, when Discovery starts.
-
Fee. The Discovery fee is the amount in US dollars stated in the Discovery proposal and invoice, paid 100% in advance. Work starts once payment is received. The fee is non-refundable once work has started. If the Client signs a Software Development Services Agreement for the project while the fixed price is valid, the full fee is credited to the first development payment.
-
Fixed price validity. The fixed price and delivery plan are valid for 30 days from delivery.
-
Ownership. On payment, the Client owns the requirements summary and the process map. The mockups, prototype, presentation and videos remain the property of Kaypi Stack. They transfer to the Client when the Client signs the Services Agreement for the project, or separately for a license fee agreed in writing.
-
Communication. Work is asynchronous: written summaries, videos and messages by WhatsApp or email. Videos may use synthesized narration and subtitles. A live call can be arranged on request.
-
Confidentiality. The Mutual NDA between the Parties applies to everything shared during Discovery.
-
Liability. Kaypi Stack’s total liability under this Agreement is limited to the Discovery fee paid. Neither Party is liable for indirect or consequential losses.
-
Law and disputes. This Agreement is governed by the laws of Peru. Disputes will be resolved by arbitration in Lima, Peru, in English.
-
General. This is the entire agreement on Discovery. If the Discovery proposal and these terms differ, the proposal prevails. Changes must be in writing. Electronic acceptance, including acceptance by payment, is valid.
