Version 1.0 · October 26, 2026
This Mutual Non-Disclosure Agreement (the “Agreement”) is between Publisher Online E.I.R.L., doing business as Kaypi Stack, a company registered in Peru with tax ID (RUC) 20572201636 and address at Jr. 1 de Abril 383, La Banda de Shilcayo, San Martín, Peru (“Kaypi Stack”), and the person or company identified in the brief submitted through kaypistack.com (the “Client”). Each is a “Party”.
The Agreement takes effect when the Client ticks the acceptance box and sends a brief. Kaypi Stack accepts it by receiving the brief. We record the date, time, name, email and company of the person who accepted it. If you prefer a signed copy, write to [email protected] and we will send one.
- Purpose. The Parties want to discuss a possible software development project (the “Purpose”) and may share confidential information for that reason only.
- Confidential Information. Any business, technical, financial or personal information a Party (the “Discloser”) shares with the other (the “Recipient”), in any form, including voice recordings, files and answers sent through kaypistack.com, that is marked confidential or that a reasonable person would understand to be confidential.
- Exclusions. Information is not confidential if the Recipient can show it: (a) was public, or became public through no fault of the Recipient; (b) was already known to the Recipient without a duty of confidentiality; (c) was lawfully received from a third party without restriction; or (d) was developed independently without use of the Discloser’s information.
- Obligations. The Recipient will: (a) use the Confidential Information only for the Purpose; (b) protect it with at least reasonable care; (c) share it only with employees and contractors who need it for the Purpose and are bound by similar duties; and (d) not reverse engineer anything received.
- AI tools. Kaypi Stack may process Confidential Information with AI services to transcribe and summarize it, only for the Purpose and only with providers that do not use it to train their models.
- Required disclosure. If the law or a court requires disclosure, the Recipient may disclose only what is required, and will tell the Discloser first where legally allowed.
- Return or deletion. On written request, the Recipient will return or delete the Confidential Information, except copies kept in routine backups or required by law, which stay confidential.
- No license, no obligation. This Agreement gives no rights to the other Party’s intellectual property and does not oblige either Party to sign a further agreement.
- Freedom to work. Nothing in this Agreement prevents either Party from working with others in the same industry, provided it does not use the other Party’s Confidential Information.
- Term. This Agreement applies to information shared during 12 months from its date. The duty of confidentiality lasts 3 years after the last disclosure; trade secrets stay protected for as long as they remain trade secrets.
- Remedies. A breach may cause harm that money cannot fully repair, so the Discloser may seek an injunction in addition to other remedies.
- Law and disputes. This Agreement is governed by the laws of Peru. Disputes will be resolved by arbitration in Lima, Peru, in English.
- General. This is the entire agreement on this subject. Changes must be in writing. Electronic acceptance is valid.
